Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Soverant platform, websites and related services (together, the “Service”). The Service is provided by Soverant, a product currently operated by Adverant Limited (Ireland) pending incorporation of Soverant Ltd (“Soverant”, “we”, “us”). By accessing or using the Service you agree to these Terms. If you are entering into these Terms on behalf of an organisation, you confirm that you have authority to bind that organisation.

1. Acceptance of these Terms

By creating an account, signing in, or otherwise using the Service, you accept these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

2. The Service

Soverant is a sovereign decision-intelligence platform for mission operations: it binds targets, resources and actions into a single auditable operating loop, with classification-aware AI that can run on-device, on EU-sovereign compute, or wholly within your own tenant. Features, and the availability of features, may change over time.

3. Eligibility & accounts

You must be at least 18 and able to form a binding contract. You are responsible for the accuracy of your registration details, for safeguarding your credentials, and for all activity under your account. Notify us promptly of any unauthorised use. Access may be provisioned to named individuals within an approved organisation and is not transferable.

4. Acceptable use

You agree not to, and not to permit any third party to:

  • use the Service unlawfully, or in breach of any applicable export-control, sanctions, defence or data-protection law;
  • attempt to gain unauthorised access to, probe, or disrupt the Service or its infrastructure;
  • reverse engineer, decompile or extract source code except to the extent that restriction is prohibited by law;
  • upload content you are not authorised to process, or that infringes third-party rights;
  • use the Service to develop a competing product, or resell it without our written consent.

5. Data, sovereignty & residency

You retain all rights in the data you submit (“Customer Data”). You grant us a limited licence to host and process Customer Data solely to provide and secure the Service. Where a sovereign or in-tenant deployment is configured, Customer Data is processed within the jurisdiction and boundary you select. Our processing of personal data is described in the Privacy Policy and, where applicable, a separate Data Processing Agreement.

6. Intellectual property

The Service, including all software, models, designs and documentation, is and remains the property of Soverant and its licensors. Background platform intellectual property is licensed in from Adverant Limited. We grant you a non-exclusive, non-transferable, revocable right to use the Service during your subscription, subject to these Terms. No other rights are granted.

7. Third-party services

The Service may integrate third-party services (for example identity providers and map/data sources). Your use of those services is governed by their own terms, and we are not responsible for them.

8. Early access & availability

The Service is offered on an early-access basis. It may contain pre-release features, may be modified or withdrawn, and is provided without any commitment to a particular service level unless separately agreed in writing.

9. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy, or non-infringement. Outputs of AI features may be incomplete or incorrect and must not be relied upon as the sole basis for any operational or safety-critical decision.

10. Limitation of liability

Nothing in these Terms excludes liability that cannot be excluded by law. Subject to that, to the maximum extent permitted by law we are not liable for indirect, incidental, special or consequential loss, or loss of profits, data or goodwill; and our total aggregate liability arising out of or relating to the Service is limited to the greater of the fees you paid in the 12 months before the event giving rise to the claim, or €100.

11. Indemnity

You will indemnify us against claims, losses and reasonable costs arising from your breach of these Terms, your Customer Data, or your unlawful use of the Service.

12. Term & termination

These Terms apply while you use the Service. We may suspend or terminate access for material breach, legal/security risk, or non-payment. You may stop using the Service at any time. Provisions that by their nature should survive termination (including sections 6, 9, 10, 11 and 14) will survive.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by updating the “last updated” date above and, where appropriate, by notice in the Service. Continued use after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of Ireland, and the courts of Ireland have exclusive jurisdiction over any dispute, without prejudice to any mandatory consumer protections available to you in your place of residence.

This document is provided in good faith and is subject to update; a definitive, countersigned agreement may apply to enterprise and public-sector deployments and, where executed, prevails over these Terms.
